When S24 is not enough and a notary is needed?

Short answerS24 works only for companies with cash contributions and a standard company agreement. If you want to make a non-cash contribution (in kind), appoint a supervisory board or use non-standard provisions of the agreement, the company agreement must be concluded at a notary.

Three situations in which S24 is not enough

  1. A non-cash contribution (in kind). When a partner contributes to the company, for example, equipment, a car, real estate or rights instead of money.
  2. A supervisory board. The agreement template in S24 does not provide for it.
  3. Non-standard provisions of the agreement. When you want to change the provisions of the template, e.g. add your own rights for partners.

What to do then

Write to us and we will point out the way forward with a notary. You can use the data from our form to prepare for the meeting, because it holds all the partners, the capital, the PKD codes and the registered office.

How to check whether S24 is enough

  • Do all the partners contribute only money?
  • Do you not need a supervisory board?
  • Does the standard agreement cover all the arrangements between the partners?

If the answer to every question is "yes", S24 is enough. We describe the costs in the guide How much does it cost to set up a limited liability company via S24.
