Frequently asked questions.
Can a limited liability company be set up without a notary?
Yes, through the S24 system, if the contributions are in cash and the agreement fits the system's template. A notary is needed for non-cash contributions (in-kind), a supervisory board and non-standard provisions of the agreement.
How much does it cost to set up a limited liability company through S24?
Our service costs from 492 PLN. On top of that, official fees: a 250 PLN court fee (publication in MSiG has been free since 29.11.2025), and after the entry 40 PLN for the management board's declaration on the contribution. PCC of 0.5% of the capital, reduced by the entry and publication costs, is also due. Check the rates in S24, as they may change.
What is the minimum share capital?
At least 5,000 PLN, and the value of one share cannot be lower than 50 PLN.
How long does registration take?
By law the court has one working day to consider an application submitted through S24. In practice registration usually takes several working days, because the partners must sign the documents beforehand.
Can a foreigner set up a limited liability company in Poland?
Yes. Each partner must have an account in the court system and sign the agreement with a trusted profile or a qualified electronic signature. A trusted profile requires a PESEL number, so we help foreigners without a PESEL obtain one.
What is PESEL help?
We help a partner prepare the PESEL application. The form prints the completed application, which you submit at the office. When you receive the number and set up your trusted profile, you load the saved data and finish the process. The service costs 100 PLN per partner.
What do I have to do after registering the company?
The management board's declaration on the contribution is submitted within 7 days of the entry, the PCC-3 return within 14 days of concluding the agreement, and the NIP-8 notification within 21 days of the entry (7 days if the company will pay ZUS contributions). The company must also report the beneficial owners to the CRBR register within 7 days of the entry.
What is the VÆRD virtual address?
It is the registered-office address of the company, which you can enter in the application. Packages and prices: /adres-wirtualny/. The company must have a registered-office address entered in the KRS and the right to use that address.
