  • S24: an ICT system for registering limited liability companies on the basis of an agreement template (art. 157¹ of the Commercial Companies Code, hereinafter: KSH), run by the Ministry of Justice.
  • Form: the order form at https://vaerd.pl/zamow/.
  • Services: (A) Setting up a limited liability company via S24; (B) PESEL assistance; (C) Virtual Office. The details of each service are described by the service cards in the model agreement.

2. General provisions

1. The terms and conditions are terms and conditions within the meaning of the Act on the provision of services by electronic means. Electronic services (making the Form and the site available) are free of charge, and the agreement for them is concluded when use of the Form begins and ends when it is left.

2. Technical requirements: a browser with JavaScript support, an active e-mail address. The Form is available in several languages; documents and applications are produced in Polish, and the translations are of an auxiliary nature.

3. It is prohibited to enter untrue data and unlawful content.

3. Scope of the services

1. Setting up a limited liability company via S24 (A): on the basis of the data from the Form we prepare a complete set of data for the application in S24 (company name, registered office, subject of activity PKD, capital, partners, management board, manner of representation), help to enter it into the system and, within the price of the service, prepare and guide the Client through reporting the beneficial owners to the CRBR (the report is made by a person authorised to represent the company) and prepare the company's registration documents for the tax office (NIP-8, VAT-R) and, under a power of attorney granted by the Client, submit them at the office, and in addition we guide the Client through the successive stages: partners' signatures, fees, registration in the KRS, assignment of NIP and REGON, notification to ZUS and of the bank account. We inform about statutory deadlines (including 7 days to sign the agreement, 14 days to pay, 7 days to notify the bank account to the tax office).

2. PESEL assistance (B): we prepare the data and the application for assigning a PESEL number to a foreigner without a PESEL, indicate the competent municipal office and guide the Client through submitting the application. We do not guarantee the timing or the decision of the office.

3. Virtual Office (C): we provide an address for registering the company's registered office and handle correspondence on the terms of the service card. [TO BE VERIFIED: providing the service requires entry in the register of service providers for businesses (art. 129a of the Anti-Money Laundering Act) and client identification; until the entry is made, the service is not sold.]

4. The services are not legal or tax advice. We do not represent the Client before a court or authorities unless the parties agree this separately in writing. The choice of form of taxation (including Estonian CIT), the manner of making contributions and the tax and legal consequences remain the Client's decision; in case of doubt we recommend consulting a tax adviser or a lawyer.

5. The service does not include official fees (court fee 250 PLN, publication in MSiG has been free since 29.11.2025, and in some cases 40 PLN on notification; check the amounts in S24), civil law transactions tax (PCC), share capital, translation costs, a notary or a qualified signature, if one is needed.

4. Order, price and payment

1. An order is placed through the Form after completing the data and ticking the required consents. Before placing the order the Client may check and correct the data in the summary.

2. Gross prices (with VAT): setting up a company from 492 PLN; PESEL assistance 100 PLN for each partner; Virtual Office 1,200 PLN per year in advance. The final price results from the order summary.

3. Payments are handled by PayU S.A. The agreement is concluded when the order is placed with an obligation to pay; fulfilment begins after the payment is credited. On request we issue an invoice.

5. Fulfilment

1. We start after receiving the payment and complete data. We report missing data by e-mail; the fulfilment time runs from the data being completed.

2. Acts that only the partners or the management board members can perform (including signing the company agreement, making contributions, making declarations) are performed by them in person. Statutory deadlines run independently of us; we provide reminders, but responsibility for meeting the deadlines rests with the Client.

3. The time of registration in the KRS depends on the court and is not guaranteed by us.

6. Client's obligations

1. The Client ensures that the data is true and complete, and that the persons named in the Form have consented to setting up the company and to performing their functions.

2. The Client is responsible for the data of third parties entered in the Form and will inform those persons about the processing of data in accordance with the privacy policy.

3. The Client checks the prepared data and documents before signing and reports errors promptly.

4. The Client undertakes not to use the services for unlawful purposes, including money laundering or terrorist financing; as part of our statutory obligations we may demand additional documents and refuse to perform.

7. Guarantee and liability

1. The rules of the correct-application guarantee (a free correction and covering the repeated official fee up to 250 PLN when the court returns or rejects the application through our fault) are described on the Guarantee page, which forms an integral part of the Terms.

2. We are liable for the proper performance of the services on general terms. In relation to Clients who are not consumers, liability is limited to the price paid for the service and to actual damage, excluding lost profits, except for damage caused intentionally.

3. We are not liable for the decisions of the court, authorities and offices, the unavailability of S24 or public systems, delays by payment operators, or the consequences of providing untrue or incomplete data.

8. Complaints

Complaints may be submitted to kontakt@vaerd.pl, giving the order number and a description of the objections. We reply within 14 days of receiving the complaint. A consumer may use out-of-court dispute resolution methods, including the assistance of the county (municipal) consumer ombudsman.

9. Personal data

The rules of data processing are described in the privacy policy.

10. Final provisions

1. Polish law applies to the agreements. Disputes are resolved by the court competent under the general rules, and in relation to Clients who are not consumers by the court competent for the Service Provider's registered office.

2. A change to the Terms and conditions does not affect orders placed before the change. The Terms and conditions are in force from 13.10.2026.

Withdrawal from the agreement by a consumer

A consumer who has concluded a distance contract may withdraw from it within 14 days of its conclusion without giving a reason. To do so it is enough to send a statement to kontakt@vaerd.pl or by post to the Service Provider's address. You may use the template below, but you do not have to.

Starting the service before the 14 days expire. If before the withdrawal period expires you expressly request that the service begin (by ticking the relevant consent in the form), and we begin it, then in the event of withdrawal you will pay for the service performed up to the moment of withdrawal, in proportion to the scope of the performance rendered. If the service is performed in full with your express consent and after you have been informed of the loss of the right of withdrawal, the right of withdrawal lapses (art. 38 point 1 of the Act of 30 May 2014 on consumer rights).

The payment is refunded within 14 days of receiving the statement of withdrawal, by the same payment method, unless you agree to another.
