Model service agreement

A model agreement concluded when ordering the services through the Form. The agreement consists of: the order, the provisions below, the chosen service cards and the Terms and conditions.

Parties

and the Client, whose details result from the Form (order number: ……………….).

§ 1. Subject matter

The Service Provider will perform for the Client the services chosen in the order, described in the service cards below: ☐ Card A ☐ Card B (number of partners: ….) ☐ Card C.

§ 2. Remuneration

The Client will pay the gross price stated in the order summary, via PayU, before fulfilment begins. Official fees, taxes and third-party costs are not included in the price and are payable by the Client directly to the entitled entities.

§ 3. Client's declarations

The Client declares that: (a) the data in the order is true and complete; (b) the persons named as partners and management board members have consented to participating in the company and performing their functions; (c) he or she has read the Terms and conditions, the privacy policy and the guarantee; (d) he or she understands that the services are not legal or tax advice and that the choice of form of taxation (including Estonian CIT) is his or hers; (e) consumer: requests that performance begin before the withdrawal period expires and knows that after full performance of the service he or she will lose the right of withdrawal.

§ 4. Guarantee, complaints, withdrawal

The rules are set out in the Terms and conditions and on the Guarantee page. A Client who is a consumer has the right of withdrawal on the terms in the Terms and conditions.

§ 5. Personal data

The Service Provider processes data in accordance with the privacy policy.

§ 6. Final provisions

The agreement is concluded in electronic form when the order is placed with an obligation to pay. Amendments require written or electronic form on pain of nullity. In matters not regulated, the Terms and conditions and Polish law apply.

Card A. Setting up a limited liability company via S24

Scope: preparing the data for the application in S24 (company name, registered office, PKD, capital, partners, management board, representation), help in entering it, guidance through signatures, fees and notifications after registration, including preparing and guiding through the reporting of the beneficial owners to the CRBR and preparing the registration documents for the tax office (NIP-8, VAT-R), submitted under a power of attorney.
Price: from 492 PLN gross. Time: preparing the data takes 1–2 business days from a complete set of information; registration depends on the court.
Client's obligations: the partners' signatures (a trusted profile, a qualified signature or another permitted in S24), payment of the capital and fees, notifications on time.
Outside the scope: official fees, PCC, the capital, tax advice, representation before a court, non-cash contributions and agreements outside the S24 template.
Guarantee: a correction and covering the repeated official fee up to 250 PLN if the application is returned through our fault.

Card B. PESEL assistance

Scope: preparing the data and the application for assigning a PESEL to a foreigner, indicating the competent municipal office, instructions for submitting the application and tracking the status.
Price: 100 PLN gross per partner.
Client's obligations: providing a valid identity document and data, submitting the application at the office (in person or electronically), collecting the PESEL.
Outside the scope: a guarantee of the timing or the office's decision, sworn translations, legalisation of stay.

Card C. Virtual Office

Scope: an address for registering the company's registered office, receiving and scanning correspondence, e-mail notifications. [TO BE VERIFIED: scope, client identification and entry in the AML register before sale.]
Price: 1,200 PLN gross per year up front. Period: 12 months from activation; termination and renewal according to the Terms and conditions.
Client's obligations: true data, lawful use of the address, prompt collection of correspondence, making documents available for identification.
Outside the scope: actually running a business in the premises, renting out rooms, collecting valuable consignments and cash-on-delivery parcels.
